Correction to the proposal for distribution of profit – CapMan Plc’s Board of Directors propose for the AGM that a dividend of EUR 0.06 and for the EGM that equity repayment of EUR 0.06 be paid; the total distribution remains unchanged at EUR 0.12 per share
CapMan Plc’s Financial Statements Bulletin and Notice to the Annual General Meeting published on 31 January 2019 contained a technical error related to the Board of Directors’ proposal for distribution of profit. The proposal should have stated that a dividend of EUR 0.06 per share be paid from CapMan Plc’s distributable earnings and that an equity repayment of EUR 0.06 per share be paid from the invested unrestricted equity fund.
The company’s Board of Directors will propose to the Annual General Meeting that considering distributable earnings, the dividend per share would be EUR 0.06 instead of the originally proposed EUR 0.12. The Board of Directors will issue a Notice to an Extraordinary General Meeting to be convened on 25 March 2019 to decide on the equity repayment of EUR 0.06 per share, which cannot be decided in the Annual General Meeting as the proposal was not included in the original Notice to the Annual General Meeting. The total distribution would remain unchanged at EUR 0.12 per share.
THE ORIGINAL PROPOSAL:
According to the original proposal, CapMan Plc’s Board of Directors will propose to the Annual General Meeting that a dividend of EUR 0.12 per share will be paid to shareholders for 2018.
THE CORRECTED PROPOSAL:
The Board of Directors will propose to the Annual General Meeting which will convene on 13 March 2019 that a dividend of EUR 0.06 per share be paid. The Board of Directors further proposes to the Extraordinary General Meeting which will convene on 25 March 2019 that an equity repayment of EUR 0.06 per share be returned from the invested unrestricted equity fund. Total distribution is EUR 0.12 per share.
The corrected Financial Statements Bulletin is attached to this release. CapMan makes the corresponding corrections to the Report of the Board of Directors and the Financial Statements.
