Stock option programs

CapMan has currently two effective stock option programs – stock option program 2008 and stock option program 2013 – as part of the Group’s incentive and commitment program for key personnel of CapMan Group. The Annual General Meetings held on 27 March 2008 approved the terms and conditions of the stock option program 2008 and the Annual General Meetings held on 20 March 2013 approved the terms and conditions of the stock option program 2013.

Subscribing shares with CapMan Plc’s stock options

Evli Bank Plc will act as the share subscription agent and Evli Alexander Management Oy as its tributary agent, who receives and conveys share subscription electronically.

 

Option holders who are currently employed by CapMan can make the subscription electronically at https://incentive.eam.fi.

 

Investors and other option holders can subscribe shares with stock options by contacting Evli Help Desk by phone +358 9 4766 9931 or operations@eam.fi, in order to receive a share subscription form.

 

After signing the subscription form and paying the subscription price according to the payment instructions Evli Bank Plc will take care of the required entries in each book-entry account, whereby the options used for subscription will be removed and new shares of the company will be entered.

 

The subscribed share is not immediately available for trading on the stock exchange, but the new shares will first be entered into the Trade Register and after that the shares will be applied for listing on the stock exchange as a so-called supplementary lot.

 

Shares will establish shareholders rights as of the date of they are entered into the Trade Register.

Subscriptions in 2013

Share subscription is reasonable only if the market value of the CapMan Plc’s share exceeds the share subscription price

Stock subscriptions with 2008 B stock options made between 30 November 2013 and 31 December 2013 are registered and listed by the end of February 2014. 

 

Trade register dates are estimated and subject to availability of accountant and processing time and in relation to that listing dates are also estimates.
