Disclosure of changes in shareholding in accordance with chapter 2, section 9 of the Securities Market Act

CapMan Plc announces that it has received information that the subscription of 1,155,720 CapMan B shares with 2000 A/B stock options entered to the Trade Register today and the transactions and share conversions announced on 4 April 2007, if completed, would decrease Aristo-Invest Oy’s and its controlling shareholder Ari Tolppanen’s aggregate share of voting rights in CapMan Plc to under three-twentieths (3/20). It is expected that the share transactions and share conversion will be finalised by 16 May 2007.

The share capital of CapMan Plc will be EUR 783,144.18 after the entry of the B share subscription to the Trade Register and the closing of the share transactions and share conversion. The Company’s share capital consists of 78,314,418 shares in total (6,000,000 A-series shares and 72,314,418 B-series shares). The shares have 132,314,418 votes in total. A-series shares have entitlement to ten (10) votes per share and B-series shares one (1) vote per share.
