B-shares subscribed with stock options 2000A/B and stock options 2003A in CapMan Plc

A total of 1,292,373 B-shares in CapMan Plc have been subscribed for with the stock options 2000A/B during 19 September–31 October 2007 and 49,428 B-shares in CapMan Plc with the stock options 2003A during 4 October–22 October 2007. The share subscription price was EUR 0.60 with the stock options 2000A/B and EUR 1.42 with the stock options 2003A. The share subscription price will be recorded in the Company’s invested unrestricted shareholders’ equity. The share subscription period for the stock options 2000A/B began in October 2005. The stock option scheme is based on the resolutions by the Extraordinary General Meeting of Shareholders on 29 August 2000 and by the Annual General Meeting of Shareholders on 9 April 2003. The share subscription period for the stock options 2003A began in October 2006. The stock option scheme is based on the resolutions by the Annual General Meeting of Shareholders on 9 April 2003.

These B-shares, 1,341,801 in total, have been entered into the Trade Register on 23 November 2007. As a result of the increase, the number of the Company’s B-shares is 73,968,819. The shares have no nominal value.

The new shares subscribed with stock options 2000A/B are entitled to dividends for the fiscal year 2007 and to other shareholder rights from the registration date, i.e. as of 23 November 2007 onwards.

The new shares subscribed with stock options 2003A are entitled to dividends and to other shareholder rights from the registration date, i.e. as of 23 November 2007 onwards.

The shares have been applied for listing on the OMX Nordic Exchange Helsinki Oy together with the old shares as of 26 November 2007.

A total of 5,055,943 B-shares in CapMan Plc have been subscribed for with the stock options 2000A/B by 31 October 2007. The stock option plan 2000 has expired on 31 October 2007.

A total of 49,428 B-shares in CapMan Plc have been subscribed for with the stock options 2003A by 22 October 2007.
