Stock Exchange Announcement - 7 November 2006

B-shares subscribed with stock options 2000A/B in CapMan Plc

A total of 27,507 B-shares in CapMan Plc have been subscribed for with the stock options 2000A/B on 17 October 2006. The nominal value of one share is EUR 0.01. The share subscription price was EUR 0.72 with the stock options 2000A/B. The share subscription period for the stock options 2000A/B began in October 2005. The stock option scheme is based on the resolutions by the Extraordinary General Meeting of Shareholders on 29 August 2000 and by the Annual General Meeting of Shareholders on 9 April 2003. 

As a result of these share subscriptions, the increase in the share capital, EUR 275.07 has been entered into the Trade Register on 7 November 2006. As a result of the increase, the company’s share capital is EUR 764,070.55 and the number of B-shares is 68,407,055. 

 

The new shares are entitled to dividends for the fiscal year 2006 and to other shareholder rights from the registration date, i.e. as of 7 November 2006 onwards.

 

The shares have been applied for listing on the Helsinki Stock Exchange together with the old shares. The aim is that the listing begins on 8 November 2006.

 

A total of 1,543,607 B-shares in CapMan Plc have been subscribed for with the stock options 2000A/B by 17 October 2006. Based on these share subscriptions the share capital of CapMan Plc has been increased by EUR 15,436.07 in total.
