B-Shares subscribed with 2000A stock options in CapMan Plc

A total of 354,100 B-shares in CapMan Plc have been subscribed for with the 2000A stock options on during 15 August 2005 - 16 August 2005. The nominal value of one share is EUR 0.01. The share subscription price was EUR 0.79 with the 2000A stock options. The share subscription period for the 2000A stock options began in October 2003. The stock option scheme is based on the resolutions by the Extraordinary General Meeting of Shareholders on 29 August 2000 and by the Annual General Meeting of Shareholders on 9 April 2003.

As a result of this share subscription the increase of the share capital, EUR 3,541.00 has been entered into the Trade Register on 1 September 2005. As a result of the increase, the company’s share capital is EUR 754,021.48 and the number of B-shares is 67,402,148.

The new shares are entitled to dividends for the 2005 fiscal year and to other shareholder rights from the registration date, i.e. as of 1 September 2005 onwards.

The shares have been applied for listing on the Helsinki Stock Exchange together with the old shares. The aim is that the listing begins on 2 September 2005.
