Stock option programs
CapMan has currently two effective stock option programs as part of the Group’s incentive and commitment program for employees and members of the Board. The Annual General Meeting held on 27 March 2008 approved the terms and conditions of stock option program 2008 and the Annual General Meeting held on 9 April 2003 approved the terms and conditions of stock option program 2003.
Trading
2003A stock options (625,000 pieces) are listed on Helsinki Stock Exchange since 2 October 2006 and 2003B stock options (625,000 pieces) since 1 October 2007.

Distribution of stock optionsThe AGM of CapMan Plc annually resolves on the number of stock options to be distributed to the members of the Board of Directors, in connection with the decision on remuneration for Board members. The maximum number of stock options that can be distributed to Board members totals 125,000 for year 2003 stock options. The Board of Directors decides on the distribution of stock options to all others, who are not members of the Board.
